Agreement to Terms

These Terms of Use form a legally binding agreement between you (whether personally or on behalf of an entity) and SaaS Club LLC (“we,” “us,” or “our”), governing your access to and use of the saasclub.io website and any related media channels, mobile websites, or mobile applications (collectively, the “Site”). By accessing the Site, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must stop using the Site immediately.

We may update these Terms at any time. Changes take effect immediately upon posting. Your continued use of the Site after any update constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

You may be required to register to use certain features of the Site. You agree to keep your password confidential and accept responsibility for all activity under your account. We reserve the right to remove or change any username we deem inappropriate or objectionable.

Fees and Payment

Cancellation

You can cancel your subscription at any time by logging into your account or contacting us. Your cancellation takes effect at the end of the current paid term.

Prohibited Activities

You may only use the Site for its intended purpose. The Site may not be used for any commercial activity not specifically endorsed by us. As a user, you agree not to:

  2. Collect usernames or email addresses for unsolicited communications, or create accounts by automated means or under false pretenses.
  3. Use the Site to advertise or sell goods and services without our authorization.
  4. Circumvent or interfere with security features of the Site.

  15. Attempt to bypass access restrictions or security measures.
  16. Harass, intimidate, or threaten our employees or agents.
  17. Remove copyright or proprietary notices from any Content.
  18. Copy or adapt the Site's software or code.
  19. Upload viruses, malware, or other harmful material that disrupts the Site.
  20. Upload any passive or active data-collection mechanisms (web bugs, tracking pixels, etc.).
  21. Use spiders, scrapers, or other automated tools to access the Site (except standard search engine or browser usage).
  22. Disparage, tarnish, or otherwise harm us or the Site.
  23. Use the Site in violation of any applicable laws or regulations.

User-Generated Contributions

The Site may allow you to post, submit, or share content (“Contributions”), including text, images, audio, video, comments, and other materials. Contributions may be visible to other users and third parties. By making Contributions, you represent and warrant that:

  1. Your Contributions do not infringe any third party's intellectual property or other proprietary rights.
  2. You own or have the necessary rights and permissions to post the Contributions and to authorize their use on the Site.
  3. You have obtained consent from any identifiable individuals appearing in your Contributions.
  4. Your Contributions are not false, misleading, defamatory, obscene, or otherwise objectionable.
  5. Your Contributions are not unsolicited advertising, spam, or pyramid schemes.
  6. Your Contributions do not advocate violence, threaten others, or violate any applicable law or regulation.
  7. Your Contributions do not violate anyone's privacy or publicity rights.
  8. Your Contributions do not solicit personal information from or exploit minors.

Violating these guidelines may result in suspension or termination of your access to the Site.

Contribution License

By posting Contributions, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable license to use, reproduce, distribute, display, and create derivative works from your Contributions in any media format. This includes use of your name, likeness, and any trademarks or logos you provide.

You retain ownership of your Contributions and any associated intellectual property rights. We are not liable for statements in your Contributions. You are solely responsible for your Contributions and agree to hold us harmless from any claims related to them.

We reserve the right to edit, re-categorize, or remove any Contributions at our discretion, without notice.

Review Guidelines

If you post reviews or ratings on the Site, they must be based on firsthand experience, free of offensive or discriminatory language, and not contain false or misleading statements. You may not organize campaigns to post reviews (positive or negative). We may accept, reject, or remove reviews at our sole discretion. Reviews do not represent our views. By posting a review, you grant us a perpetual, royalty-free license to use, reproduce, and distribute it.

Submissions

Any questions, comments, suggestions, ideas, or feedback you provide to us (“Submissions”) are non-confidential and become our sole property. We may use Submissions for any lawful purpose without acknowledgment or compensation. You warrant that your Submissions are original or that you have the right to submit them.

Third-Party Websites and Content

The Site may contain links to third-party websites and content. We do not investigate, monitor, or endorse third-party sites or content and are not responsible for their accuracy, privacy practices, or policies. If you leave the Site to visit a third-party site, these Terms no longer apply. Review the terms and privacy policies of any third-party sites you visit. Purchases made through third-party sites are solely between you and the third party.

Advertisers

We allow advertisers to display ads on the Site. Advertisers are solely responsible for their advertisements and any products or services offered through them. Advertisers warrant that they have all necessary rights and authority to place ads on the Site and agree that their ads are subject to our DMCA policies.

Site Management

We reserve the right (but are not obligated) to: (1) monitor the Site for violations of these Terms; (2) take legal action against anyone who violates these Terms or applicable law; (3) restrict, disable, or remove any Contributions; (4) remove files or content that are excessive or burdensome to our systems; and (5) manage the Site to protect our rights and ensure proper functioning.

Privacy Policy

We care about your data privacy and security. Please review our Privacy Policy. By using the Site, you agree to be bound by our Privacy Policy, which is incorporated into these Terms. The Site is hosted in the United States. If you access the Site from another region, your continued use constitutes consent to have your data transferred to and processed in the United States. In accordance with the U.S. Children's Online Privacy Protection Act, if we receive actual knowledge that a user under the age of 13 has provided personal information without verifiable parental consent, we will delete that information promptly.

Term and Termination

These Terms remain in effect while you use the Site. We reserve the right to deny access to the Site to any person, for any reason or no reason, without notice or liability. This includes blocking certain IP addresses. We may terminate your account and delete any content you have posted at any time, without warning.

If your account is terminated, you may not create a new account under your name, a fictitious name, or a third party's name. We also reserve the right to pursue legal action, including civil, criminal, and injunctive remedies.

Modifications and Interruptions

We may change, modify, or remove Site content at any time without notice. We may also modify or discontinue all or part of the Site without notice. We are not liable for any modification, suspension, or discontinuance of the Site.

We cannot guarantee continuous availability of the Site. Hardware failures, software issues, and maintenance may cause interruptions. We are not liable for any loss or inconvenience caused by your inability to access the Site during downtime.

Governing Law

These Terms and your use of the Site are governed by the laws of the State of Florida, without regard to its conflict of law principles.

Dispute Resolution

Informal Negotiations

Before initiating arbitration, the parties agree to attempt to resolve any dispute informally for at least thirty (30) days through written notice.

Binding Arbitration

If informal negotiations fail, disputes will be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”). By agreeing to arbitration, you waive your right to sue in court or participate in a jury trial. Arbitration may be conducted in person, by phone, by document submission, or online. Unless otherwise required by AAA rules, arbitration will take place in Manatee County, Florida.

If a dispute proceeds in court rather than arbitration, it must be brought in the state or federal courts located in Manatee County, Florida. Both parties consent to the jurisdiction of those courts.

No dispute may be commenced more than one (1) year after the cause of action arose.

Restrictions

All arbitration is limited to the dispute between the individual parties. To the fullest extent permitted by law: (a) no arbitration may be joined with any other proceeding; (b) no class-action arbitration is permitted; and (c) no dispute may be brought on a representative basis on behalf of the public or others.

Exceptions

The following disputes are exempt from the arbitration provisions: (a) disputes concerning intellectual property rights; (b) disputes related to theft, piracy, invasion of privacy, or unauthorized use; and (c) claims for injunctive relief.

Corrections

The Site may contain typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and update information at any time without notice.

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOUR USE OF THE SITE IS AT YOUR SOLE RISK. Indemnification

You agree to defend, indemnify, and hold harmless SaaS Club LLC, its affiliates, officers, agents, partners, and employees from any loss, damage, liability, claim, or demand (including reasonable attorneys' fees) arising from: (1) your Contributions; (2) your use of the Site; (3) breach of these Terms; (4) breach of your representations and warranties; (5) violation of any third party's rights; or (6) any harmful act toward another user of the Site. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you.

User Data

We maintain certain data you transmit to the Site for purposes of managing Site performance and your usage. While we perform routine backups, you are solely responsible for your data. We are not liable for any loss or corruption of data, and you waive any right of action against us arising from such events.

Electronic Communications

Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement for written communication. You agree to the use of electronic signatures, contracts, and records.

We are not liable for any delay or failure caused by events beyond our reasonable control. If any provision of these Terms is found to be unlawful or unenforceable, it is severed without affecting the remaining provisions. No joint venture, partnership, employment, or agency relationship is created by these Terms. These Terms will not be construed against us by virtue of having drafted them.
